DEFINITIONS

Original Investment Amount As defined in the Private Placement Memorandum ("PPM").
Secondary Share Purchase Price Cost to purchase a share
Secondary Brokerage Fee Estimated brokerage, management, and/or other fees incurred through purchasing shares, as a percent of initial investment amount.
Annual Interest Rate (Compounded Annually) Investors' initial investment amount will accrue a compound annual interest - starting from the options funding date up until the potential liquidity event. If the employee's proceeds are insufficient, investors will first receive their original investment back, as well as any remaining amount. This payment is subject to Equitybee's 5% carry fee.
Stock Incentive Percentage (SIP) Following a successful liquidity event, investors will receive a share incentive, as outlined in the agreement. If the employee's proceeds are insufficient, investors will first receive their original investment amount and annual interest, as well as any remaining amount. This payment is subject to Equitybee's 5% carry fee.
Effective Exercise Price Per Share The weighted average of the employee's option(s) strike price plus estimated taxes due.
Equitybee Brokerage Fee One-time fee equal to 5% of the Principal Subscription Amount.
Carried Interest % Portion of the Investor Returns due to the Organizer (as defined in the PPM) upon distribution.
Share Price Upon Liquidity Event (Exit Value) This is the hypothetical share price used to calculate the investors proceeds at the time of a liquidity event.
Agreed Value of Unrestricted Public Stock Share price used to calculate settlement amounts when an Employee opts to settle in shares.
Time (Years) to Liquidity Event The time in years between investing in the offer and the portfolio company's liquidity event; the simulator will use this assumption to calculate the interest.
Funded Shares The number of options that the Employee (as defined in the PPM) exercised using the Principal Subscription Amount.
Purchased Shares The number of shares purchased in a secondary transaction.
Total Amount Paid By Investor The Principal Subscription Amount plus the Brokerage Fee.
Implied Exit Multiple Over Present Date Secondary Price per Share Calculated by dividing the share price upon liquidity event and the secondary share purchase price.
Implied Exit Multiple Over Effective Exercise Price Per Share Calculated by dividing the share price upon liquidity event and either the effective exercise price per share
Gross Proceeds (Upon Liquidity Event) The number of Funded Shares multiplied by the Share Price Upon Liquidity Event or agreed Value of Unrestricted Public Stock.
Interest Amount (Compounded Annually) Interest earned on the Principal Subscription Amount.
Stock Incentive Amount Calculated as a percentage of the total value received by the Employee in connection with the Trigger Event.
Contract Profit (Loss) Investor proceeds in excess or deficient of the Principal Subscription Amount.
Investment Returns Post Carry Fee Calculated as the stock incentive amount plus interest, net of carried interest.
Total Investment Proceeds (Post Fees) Principal amount plus investment returns net of carried interest.
Carried Interest Payable by Investor Carried Interest paid by Investors to Equitybee
Total Employee Proceeds The net proceeds, if any, realized by the Employee (as defined in the PPM) on the Funded Shares.
